Terms of Service
Welcome to Spenio! These Terms of Service (the “Agreement”) govern your use of the Spenio expense reimbursement application (“Software”), including any updates or revisions to it, provided by Moser Consulting, Inc. (“Company,” “we,” “our,” or “us.”)
General Rules
You may use Spenio for the purpose of submitting and managing expense reports and for no other purpose. You are responsible for ensuring that your use of the Spenio is in compliance with all applicable laws, rules, and regulations.
User Accounts
To use Spenio, you must create a user account. You agree to provide accurate and complete information when creating your account and to keep your account information up to date. You are responsible for maintaining the security of your account and for all activities that occur under your account. You agree to notify us immediately if you become aware of any unauthorized use of your account or any other breach of security.
Use of Spenio
Moser Consulting, Inc. grants you a limited, non-exclusive, non-transferable, and revocable license to access and use Spenio for your own personal or business use. You agree not to use Spenio for any illegal or unauthorized purpose. You further agree not to use Spenio to violate any applicable laws, rules, or regulations.
Submission of Expense Reports
You may use Spenio to submit expense reports to your employer or other authorized entity. You are responsible for ensuring that all information provided in the expense report is accurate and complete. You agree to provide any additional information or documentation that may be requested by your employer or other authorized entity in connection with your expense report.
Reimbursement
Moser Consulting, Inc. is not responsible for reimbursing you for any expenses submitted through Spenio. Reimbursement is the responsibility of your employer or other authorized entity. You agree to hold Moser Consulting, Inc. harmless for any claims, damages, or losses arising from your use of Spenio, including any claims related to reimbursement.
Intellectual Property
Spenio and all intellectual property rights in it are owned by Moser Consulting, Inc. You may not use Spenio for any purpose other than as expressly permitted in this Agreement. You may not copy, modify, distribute, sell, or transfer Spenio or any part of it without the prior written consent of Moser Consulting, Inc.
Cancellation and Termination
You are responsible for the proper cancellation of your account. You may cancel your account at any time by emailing support at spenio@moserit.com. You will not be charged after cancellation. There is no cancellation fee.
In the event of cancellation or termination your account will be immediately disabled, and your account and information cannot be recovered once the account is closed. We retain the right to retain or delete data provided to us by you at our sole discretion.
Moser Consulting, Inc. may terminate this Agreement and your access to Spenio at any time without notice for any reason or no reason. Upon termination, you must immediately stop using Spenio.
Disclaimer of Warranties
Spenio is provided “as is” and without warranties of any kind, whether express or implied. Moser Consulting, Inc. disclaims all warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
Moser Consulting, Inc. will not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of Spenio, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if Moser Consulting, Inc. has been advised of the possibility of such damages.
Governing Law
This Agreement will be governed by and construed in accordance with the laws of the United States and by the laws of the State of Indiana without regard to its conflicts of laws provisions.
You agree that any legal action, suit, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the federal or state courts located in the State of Indiana. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
If any provision of these Terms is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.
Amendments and Changes
Moser Consulting, Inc. may update or change this Agreement from time to time by posting a revised version on the Spenip website or by notifying you by email. The revised version will be effective on the date it is posted or on the date specified in the email notification. Your continued use of Spenio following any such update or change constitutes your acceptance of the revised Agreement. If you do not agree to the revised Agreement, you must stop using Spenio and delete your account.
